Five Ways to Protect Yourself When Selling Your Business

I read with interest a report of April 23, 2008, entitled “Millions involved in local business purchase scam” published in the Christian County Headliner News. As a certified public accountant that has represented buyers/sellers in business sales transactions and also as Managing Partner of Sunbelt Business Advisors – a business brokerage firm, I thought it beneficial to write about the many red-flags that were present in the article. Red flags that others should be aware of and protect themselves against as they attempt to either sell or buy a business.

SMALL BUSINESSES ARE NORMALLY SOLD AS AN ASSET PURCHASE AND NOT A STOCK PURCHASE. This transaction appears to have been a stock purchase and not an asset purchase. This should have been one of the first very large red flags. Small, privately held businesses are almost never sold as a stock purchase. A stock purchase means the current owners legal entity-the company, continues on instead of the new buyer creating a new company. In a stock purchase the new owners get everything the sellers business owns – bank accounts, receivables, any potential and actual liabilities. This includes contingent liabilities the new owner may not even know about. Additionally, a stock purchase does not allow a new owner to get stepped up basis of the company furniture, fixtures and equipment. The stepped up basis of the FF&E could mean thousands of dollars in tax savings to a new owner that would be very beneficial the first few years of ownership. A buyer walking in and immediately wanting to purchase the stock of business and assume all liabilities, potential future liabilities – known or unknown and leaving the additional depreciation on the table is almost unheard of. A normal asset purchase agreement (not a stock purchase) would have generally excluded cash and bank accounts of the prior company. The new owners in an asset purchase agreement, unlike a stock purchase would not have been able to transfer funds from the company accounts. They would need to open new bank accounts in their new company name.

AT CLOSING, BUYERS FUNDS SHOULD BE AVAILABLE. Apparently this deal closed without confirmation or having actual funds from the buyer. No business purchase transaction should close without having funds available and present at closing. This would be the same as selling your house to someone, closing the transaction, but the buyers not having loan approval yet. You wouldn’t do it and neither should sellers of small businesses.

ALWAYS USE A QUALIFIED CLOSING ATTORNEY. The sale of a business should be closed by a qualified closing attorney. Qualified closing attorneys will have their own space and normally not need to use others. A qualified closing attorney will make sure all legal documents are in order; make sure funds are available to pay the seller and file all required legal and IRS documents. Anyone selling or purchasing a business should insist upon having a qualified closing attorney conduct the closing. The absence of a qualified closing attorney should be a red flag.

USE A QUALIFIED BUSINESS BROKER – DON’T TRY IT ALONE. Not using a qualified, professional business broker is another red flag. Can business deals be completed without using a business broker? Certainly! One can also write their own contracts without using an attorney or prepare their own tax return without using a CPA, but it isn’t necessarily the smartest thing to do. Especially when talking about the sale of a business which is probably one of the largest if not the largest asset a person owns. Something as important as this should not be attempted alone. A qualified business broker will help educate the seller as to the process, help establish a valid market price, effectively market the business, screen buyers, and help qualify buyers, assist with negotiations, work with existing seller CPA and attorney, and work with closing attorney and overall management of the process and be there to advise the seller as to red flags!

NEVER CHANGE THE BANK ACCOUNTS UNTIL YOU HAVE YOUR MONEY. Another subtle, but yet red flag is it appears the seller changed the signature cards at the bank(s) and the names of the people allowed access. Even in a stock purchase, the current bank account holder – the seller would have to have the bank change the names and cards. Obviously, if this did in fact happen, it happened prior to the seller having funds from the buyer. The new buyer also apparently had the “keys” to the business before the seller was paid the purchase price. It is like selling your car to someone and agreeing to be paid at some future date; while you watch the “new buyers” that you just met drive off into the sunset with your car. The most important of great sex – and by extension, penis health – is that a person must feel comfortable participating. A man who is willing may still want to ease into things and take his time to find out just what works for him. Letting the Public Know I Suffer From Schizophrenia

When people seek mental health services from me, I routinely break what was once a cardinal sin to me early on in my recovery; I review my diagnostic history. I do this with love in my heart to help inspire recovery, however, in the process, the “s” word, “schizophrenia,” will bubble up.

I do this habitually in the outpatient program I work in. I have done this by redefining the medical model definition of the word so that it more accurately reflects the shared internal process that we with “schizophrenia,” or “schizoaffective,” or “bipolar,” or “depression,” or hosts of other diagnoses experience.

As a professional with over twenty years of experience, a diagnosis tells me more about the doctor or therapist who diagnosed the person than it does the identified patient. Many clinicians will judge the mad person based on their counter-transference: their take on the color of their skin, their sex, the socioeconomic experiences in their story, their particular take on social Darwinism, or their subject’s level of trust or emotional openness. “Schizophrenia” will result when the subject is not liked, is judged as hopeless, or by a clinician who is not accustomed to hearing harsh stories. Depression is more likely when the clinician has been snowed, has failed to really access the details of the dilemmas, or is a righteous advocate trying to undermine stigma.

For example, I recently found out based on my inability to get into a particular health insurance plan, that my current doctor has diagnosed me as a schizophrenic. My last doctor, said I was a bipolar. “So you’re bipolar, what’s the big deal about that!” He said when I described my redefinition work to him. And then there was younger-than-me doctor I saw before that, who clearly tried to be a good parent to me. He said I was a schizoaffective. One might imagine that I changed a lot, but I can assure the reader that with every psychiatrist case I deal with, I do not change my behavior or the details I share. I am cordial and accepting of the fact professionals are going to insist on seeing me until they have enough money or trust to know that I don’t need to be bothered with them.

In the program where I work, I entitle the specialty group I have developed special messages. I like to think that we have developed into a little counterculture. In group, participants are encouraged to share experiences associated with “psychosis.” Some will come to just listen. Others will talk when they are suffering without caring about what others think. Many become compelled to join the majority and talk. Still others will demure and filter into the group when they develop strong enough relationships on the unit so as not to face stigma. They may want to reflect on their growth or end their silence. Many share things with their peers they won’t share with their doctors.

I have created jargon to define seven other common experiences (in addition to special messages) that message receivers can relate to. I call this gooney-goo-goo jargon. Often, people who get helped by my groups come up to me and we have goofy fun with gooney-goo-goo talk, usually making nano nano signs. When we crack enough jokes, having enough fun to help each other feel cool and accepted, I like to think it makes onlookers more curious and willing to explore special messages. Many do.

It’s true that I have struggled some over the years with some of my clinician peers who have had issues with me being out as a schizophrenic. I think this is because historically, people presume that the role of the therapist is a competent model who can guide the client towards more mainstream success. For many the presence of special messages is an indicator that something is unhealthy.

However, among group participants, I have found that demonstrating that one can be mindful of special message processes without experiencing crisis offers hope. I have also found that crossing over and using peer techniques humanizes the process of therapy. This can be very welcome by a people who feel condemned to therapy as their sole purpose in life.

Clearly it is arguable that disclosing that you have schizophrenia has grave social consequences. Research on stigma conducted by Patrick Corrigan suggests that trying to eradicate stigma through education and through protest both lead to higher levels of stigma in the public. In contrast, this research suggests that first establishing contact with the local public and proving that you can fit in is necessary before you come out of the closet with your disability. Thus, contact is an effective means of eradicating stigma.

3. Follow all directions. The professional piercer knows best, so don’t question the aftercare instructions. While a man might feel healed within a few weeks, he’s really not – there’s a reason why he was told to wait for up to two months (and for some piercings, even longer) before going back to his usual routines.

4. Use a condom. When a man is ready to get back in the sexual game, there won’t be any ‘testing out’ of the piercing at first. In fact, a man who has sex within the first several weeks after a piercing will have to wear a condom, even if he is in a monogamous relationship and not worried about diseases. That’s because the exchange of bodily fluids can be enough to lead to infection, which then sets back healing by several weeks.

5. Provide ample healing time. Speaking of time, a man should be prepared to allow the penis to heal for as long as the piercer suggests, or even longer. In order to do so, he should be ready to avoid certain activities. This includes sex, but it can also include things like riding a bike or even certain workouts at the gym.

6. Ease up on activity. The friction of sex can lead to pulls and tears in the skin around the healing piercing, which can then lead to more blood and longer healing time. A man should take it easy with sex at first. This means nothing rough, no ‘manhandling’ of the penis during masturbation, and no oral sex for the first several weeks. When he does ease into those activities again, he must pay close attention to how everything feels.

7. The body never lies. A man should always listen to his body. If things are hurting, that’s a sign it’s time to stop. If things feel strange, it’s time to look things over. If the healing isn’t going as it should, it’s time to get things checked out. A man who pays attention to his body is bound to have better penis health, no matter how many piercings he has.

Pathological Eating Disorders and Poly-Behavioral Addiction

When considering that pathological eating disorders and their related diseases now afflict more people globally than malnutrition, some experts in the medical field are presently purporting that the world’s number one health problem is no longer heart disease or cancer, but obesity. According to the World Health Organization (June, 2005), “obesity has reached epidemic proportions globally, with more than 1 billion adults overweight – at least 300 million of them clinically obese – and is a major contributor to the global burden of chronic disease and disability. Often coexisting in developing countries with under-nutrition, obesity is a complex condition, with serious social and psychological dimensions, affecting virtually all ages and socioeconomic groups.” The U.S. Centers for Disease Control and Prevention (June, 2005), reports that “during the past 20 years, obesity among adults has risen significantly in the United States. The latest data from the National Center for Health Statistics show that 30 percent of U.S. adults 20 years of age and older – over 60 million people – are obese. This increase is not limited to adults. The percentage of young people who are overweight has more than tripled since 1980. Among children and teens aged 6-19 years, 16 percent (over 9 million young people) are considered overweight.”

Morbid obesity is a condition that is described as being 100lbs. or more above ideal weight, or having a Body Mass Index (BMI) equal to or greater than 30. Being obese alone puts one at a much greater risk of suffering from a combination of several other metabolic factors such as having high blood pressure, being insulin resistant, and/ or having abnormal cholesterol levels that are all related to a poor diet and a lack of exercise. The sum is greater than the parts. Each metabolic problem is a risk for other diseases separately, but together they multiply the chances of life-threatening illness such as heart disease, cancer, diabetes, and stroke, etc. Up to 30.5% of our Nations’ adults suffer from morbid obesity, and two thirds or 66% of adults are overweight measured by having a Body Mass Index (BMI) greater than 25. Considering that the U.S. population is now over 290,000,000, some estimate that up to 73,000,000 Americans could benefit from some type of education awareness and/ or treatment for a pathological eating disorder or food addiction. Typically, eating patterns are considered pathological problems when issues concerning weight and/ or eating habits, (e.g., overeating, under eating, binging, purging, and/ or obsessing over diets and calories, etc.) become the focus of a persons’ life, causing them to feel shame, guilt, and embarrassment with related symptoms of depression and anxiety that cause significant maladaptive social and/ or occupational impairment in functioning.

We must consider that some people develop dependencies on certain life-functioning activities such as eating that can be just as life threatening as drug addiction and just as socially and psychologically damaging as alcoholism. Some do suffer from hormonal or metabolic disorders, but most obese individuals simply consume more calories than they burn due to an out of control overeating Food Addiction. Hyper-obesity resulting from gross, habitual overeating is considered to be more like the problems found in those ingrained personality disorders that involve loss of control over appetite of some kind (Orford, 1985). Binge-eating Disorder episodes are characterized in part by a feeling that one cannot stop or control how much or what one is eating (DSM-IV-TR, 2000). Lienard and Vamecq (2004) have proposed an “auto-addictive” hypothesis for pathological eating disorders. They report that, “eating disorders are associated with abnormal levels of endorphins and share clinical similarities with psychoactive drug abuse. The key role of endorphins has recently been demonstrated in animals with regard to certain aspects of normal, pathological and experimental eating habits (food restriction combined with stress, loco-motor hyperactivity).” They report that the “pathological management of eating disorders may lead to two extreme situations: the absence of ingestion (anorexia) and excessive ingestion (bulimia).”

Co-morbidity & Mortality

Addictions and other mental disorders as a rule do not develop in isolation. The National Co-morbidity Survey (NCS) that sampled the entire U.S. population in 1994, found that among non-institutionalized American male and female adolescents and adults (ages 15-54), roughly 50% had a diagnosable Axis I mental disorder at some time in their lives. This survey’s results indicated that 35% of males will at some time in their lives have abused substances to the point of qualifying for a mental disorder diagnosis, and nearly 25% of women will have qualified for a serious mood disorder (mostly major depression). A significant finding of note from the NCS study was the widespread occurrence of co-morbidity among diagnosed disorders. How to Know When You Are Allergic to Your Girlfriend
